We regularly advise public and private companies on the tax aspects in developing and implementing incentive compensation arrangements, including option, restricted stock and synthetic equity plans, annual and long-term incentive programs, employment agreements and severance arrangements.

We advise on restructuring compensation arrangements in anticipation of a sale, planning under the compensation deduction limits of Section 162(m), the golden parachute rules of Section 280G, and the deferred compensation requirements of Section 409A (Read more on Section 409A) and in designing and drafting plans and arrangements. We analyze tax law changes to determine whether new planning opportunities exist and whether existing client plans should be modified.
