Jason E. Kuwayama is a shareholder in the Banking and Financial Institutions Practice Group in the firm's Milwaukee office. He focuses his practice on mergers and acquisitions, asset purchases and sales, corporate governance, and general securities matters.
Jason has significant experience with debt-side transactions, having represented financial institutions and private equity firms in the purchase and sale of commercial and residential asset portfolios in both performing and non-performing markets. He has served as lead counsel for approximately $15 billion of structured portfolio offerings and asset purchases, including residential and commercial real estate loans, syndicated credit facilities, C&I loans, automobile loans, and other lines of credit. In performing markets, he also helps financial institutions develop correspondent programs for the purchase and securitization of loan portfolios.
In addition to his debt-side work, Jason represents a variety of corporations (including financial institutions, developers, manufacturers and startups) on equity-side transactions. His work includes representing private equity investors in capital deployment as well as representing corporations seeking investments at various stages of their respective growth cycles.
Jason graduated with honors from Northwestern University, where he earned a Bachelor of Science in communication with a concentration in argumentation and advocacy. Jason earned his law degree from Marquette University Law School, where he was a teaching assistant for the Legal Writing and Research program and was a member of the school's Moot Court Executive Board.
Asset Purchases and Sales. Since January 2008, Jason has represented numerous financial institutions and private equity firms in the structured offerings and asset purchases of approximately $15 billion of performing and non-performing assets. Serving as lead counsel for these transactions, Jason has negotiated the definitive purchase and sale agreements and managed all legal aspects of the trades, including the following general transactions:
- $850 million of structured asset purchases and sales throughout the United States in 2016
- $1.9 billion of structured asset purchases and sales throughout the United States in 2015
- $2.0 billion of structured asset purchases and sales throughout the United States in 2014
- $2.3 billion of structured asset purchases and sales throughout the United States in 2013
- $2.1 billion of structured asset purchases and sales throughout the United States in 2012
- $1.8 billion of structured asset purchases and sales throughout the United States in 2011
- $1.5 billion of structured asset purchases and sales throughout the United States in 2010
- $1.6 billion of structured asset purchases and sales throughout the United States in 2009
- $1.3 billion of structured asset purchases and sales throughout the United States in 2008
Equity Deployment. Jason has represented numerous private equity firms and investors in connection with their equity and combined debt/equity investments in a variety of concerns, including financial institutions, manufacturers and startups.
Bank and Bank Holding Company Acquisitions and de novo Formation. Jason represented an individual in connection with his acquisition of a Wisconsin community bank and bank holding company. He currently represents a group of individuals attempting to form the first de novo bank in Wisconsin since 2007.
Eurodollar Deposits and Repurchase Sweeps. Jason advises financial institutions in connection with establishing bank branches in the Cayman Islands as well as with implementing offshore Eurodollar deposit sweeps. He also works with clients to create sophisticated and hybridized products derived from securities repurchase sweeps.
Development of Banking Products and Services. Jason regularly advises banks on the development of strategic bank offerings, including developing banking products and services for mobile phones and the Internet.
Recapitalizations and Offering Memoranda. Jason assists many clients with private placement memoranda and has represented financial institutions in connection with recapitalizations through exempt stock offerings.
Non-Profit Lending and Licensing. Jason assists a non-profit corporation with its corporate governance as well as with obtaining regulatory approval and licenses to make low-interest consumer loans to financially disadvantaged families throughout the United States.
Regulatory Compliance. A core part of Jason's practice includes regularly advising banks on complying with various banking regulations, including the implementing regulations of the Gramm-Leach-Bliley Act, the Bank Secrecy Act, and the USA PATRIOT Act. He also advises banks on complying with rules and regulations promulgated by the U.S. Treasury's Office of Foreign Assets Control.
