Jason E. Kuwayama is a shareholder in the Banking and Financial Institutions practice group in the firm's Milwaukee office. Jason focuses his practice on bank mergers and acquisitions, asset purchases and sales, bank regulation and compliance, and general securities matters.

Jason has significant experience with representing financial institutions in the purchase and sale of commercial and residential asset portfolios in both performing and non-performing markets. He routinely represents financial institutions in connection with structured portfolio offerings and sales of commercial and residential assets. Jason has represented numerous financial institutions throughout the United States by serving as their lead counsel in connection with the trading of approximately $10.5 billion of distressed assets, including commercial loans, commercial and residential real estate loans, agricultural loans, commercial paper, and syndicated credit facilities. He also develops correspondent programs for clients that purchase and sell performing loan portfolios in the secondary market.

Jason graduated with honors from Northwestern University, where he earned a Bachelor of Science in communication with a concentration in argumentation and advocacy. Jason earned his law degree from Marquette University Law School, where he was a teaching assistant for the Legal Writing and Research program and was a member of the school's Moot Court Executive Board.

Representative Experience

Distressed Asset Sales. Since January 2008, Jason has represented numerous financial institutions in the structured offerings and sales of approximately $10.5 billion of non-performing commercial and residential assets in the secondary market. Serving as their lead counsel for these transactions, Jason has negotiated the definitive purchase and sale agreements and managed all legal aspects of the sale and transfer of distressed assets, including the following portfolios:

- $145 million sale of commercial assets throughout the United States (pending)
- $121 million sale of commercial assets throughout the United States (June 2014)
- $92.8 million sale of commercial assets throughout the United States (February 2014)
- $360 million sale of commercial assets throughout the United States (October 2013)
- $552 million sale of commercial assets throughout the United States (June 2013)
- $47.5 million sale of commercial assets in Western and Southern United States (March 2013)
- $42 million sale of agricultural loans located in Southwest United States (March 2013)
- $196.5 million sale of commercial assets throughout the United States (February 2013)
- $42 million sale of residential loans throughout United States (September 2012)
- $75 million sale of residential loans throughout the United States (June 2012)
- $1.85 billion of structured sales of commercial assets throughout the United States in 2012
- $1.8 billion of structured sales of commercial assets throughout the United States in 2011
- $1.5 billion of structured sales of commercial assets throughout the United States in 2010
- $1.6 billion of structured sales of commercial assets throughout the United States in 2009
- $1.3 billion of structured sales of commercial assets throughout the United States in 2008

Performing Asset Sales. Jason has represented regional financial institutions in the structured offerings and sales of approximately $77 million of performing commercial assets in the secondary market. Serving as their lead counsel for these transactions, Jason has negotiated the definitive purchase and sale agreements and managed all legal aspects of the sale and transfer of the performing asset portfolios.

Performing Asset Purchases. Jason represents financial institutions in connection with developing formal correspondent purchasing programs involving the conduit purchases of commercial and residential portfolios of performing assets. He continues to assist institutions with negotiating and maintaining correspondent purchasing relationships.

Bank and Bank Holding Company Acquisitions. In 2008, Jason represented an individual in connection with his acquisition of a Wisconsin community bank and bank holding company.

Eurodollar Deposits and Repurchase Sweeps. Jason advises financial institutions in connection with establishing bank branches in the Cayman Islands as well as with implementing offshore Eurodollar deposit sweeps. He also works with clients to create sophisticated and hybridized products derived from securities repurchase sweeps.

Development of Banking Products and Services. Jason regularly advises banks on the development of strategic bank offerings, including developing banking products and services for mobile phones and the Internet.

Recapitalizations and Offering Memoranda. Jason assists many clients with private placement memoranda and has represented financial institutions in connection with recapitalizations through exempt stock offerings.

Non-Profit Lending and Licensing. Jason assists a non-profit corporation with its corporate governance as well as with obtaining regulatory approval and licenses to make low-interest consumer loans to financially disadvantaged families throughout the United States.

Regulatory Compliance. A core part of Jason's practice includes regularly advising banks on complying with various banking regulations, including the implementing regulations of the Gramm-Leach-Bliley Act, the Bank Secrecy Act, and the USA PATRIOT Act. He also advises banks on complying with rules and regulations promulgated by the U.S. Treasury's Office of Foreign Assets Control.
