Jed Roher is a shareholder in the Tax & Employee Benefits and Corporate Practice Groups, and co-chairs the Emerging Companies Practice Group. Jed also is a co-chair of the firm's Recruiting Committee.

Jed takes great pride in, and derives great satisfaction from, helping his business clients achieve their financing, growth and exit objectives in a pragmatic and efficient manner. Given his breadth of tax and corporate experience, Jed serves clients in a number of roles. His tax experience allows him to help clients understand - and structure transactions to achieve or avoid - the tax ramifications of specific transactions, including financing transactions, equity rollovers and taxable and tax-free acquisitions and exits. His corporate experience allows him to also step into much broader capacities, ranging from general counsel to the negotiation and implementation of licensing, financing and acquisition documents.

Jed focuses his tax practice on partnership and corporate tax law, and has significant familiarity with federal energy tax credits, new markets tax credits, Accelerate Wisconsin credits and non-profit tax law, particularly as it applies to health care providers. Jed's corporate practice includes representing early-stage companies, regardless of industry, but with a particular health tech focus, the angel and venture investors in those companies, dental practice owners and operators, and closely-held businesses in general.

Prior to pursuing his law degree, Jed toured the country for four years as a stage manager for musical theater shows and other arts festivals.

Representative Experience

Outside legal counsel to the Badger Fund of Funds, a Wisconsin venture capital fund in which the State of Wisconsin is an investor.

Serves as general counsel to an organization that acquires and manages dental practices. Consults on and leads legal activities in all phases of the business, including human resources, financing, joint ventures and, to date, twelve practice acquisitions.

Serves as general counsel to a number of single- and multiple-shareholder dentist-owned dental practices, advising on matters including practice acquisitions, associate hiring, new shareholder buy-ins, and real estate matters.

Serves as general counsel to an early-stage medical technology company developing a physical therapy solution. Representation has included preferred stock and convertible debt financing, equity-based compensation, shareholder relations, and intellectual property matters.

Represented a Madison-based early-stage software company in the $5m sale of its assets to a large and established technology company.

Represented an educational game development company in the negotiation of several significant master service agreements related to the development of new products.

Represented the equityholders of a medical coding business in the $13.5m sale of that business to a strategic acquirer.

Represented a Milwaukee-based biotechnology company from formation through three rounds of angel financing, aggregating roughly $2m to date and including Accelerate Wisconsin tax credits and Wisconsin Economic Development Corporation loans. Key issues addressed include choice of entity, equity participation by key employees, issuance of warrants to investors and licensing agreements associated with technology transfer from a university setting.

Represented a Madison-based biotechnology company from first angel financing through a number of angel investment rounds, raising over $5m, and a panoply of business issues, ultimately resulting in a successful $22.5m exit.

Represented management equity holders in tax structuring of a $252m acquisition of a private-equity financed enterprise by a public company.

Prepared governing documents for wastewater treatment and biogas-to-energy joint venture between two food processors.

Structured renewable energy and historic rehabilitation projects for federal Indian tribe. Project components included Section 1603 grants, new markets tax credits and rehabilitation tax credits.
