Godfrey & Kahn has substantial expertise advising companies and their management on acquisitions, divestitures, and strategic mergers. The firm is known as a transactional firm with experienced lawyers who design transactions creatively and close them successfully. We primarily represent existing businesses in completing strategic transactions and individuals and management groups in acquiring businesses. We also represent venture capitalists, high-tech start-ups, equity funds, and other financial buyers. The firm structures deals and arranges financing in creative ways, but also helps clients navigate effectively the HSR merger review process.

The Antitrust Team works closely with other members of the Business Practice Group both in the pre-deal planning stages as well as during the regulatory review process. The firm has integrated Kevin O'Connor's extensive experience and doctorate in economics, as well as his knowledge of the federal and state antitrust enforcement agencies, into this practice. For example, he co-authored the Horizontal Merger Guidelines (1993; Ant. Trade Reg. Rep. (CCH) par. 13,406) of the National Association of Attorneys General. In addition, for over a decade, he has worked closely with his counterparts in the federal antitrust enforcement agencies on both merger and non-merger antitrust matters. In an effort to institutionalize this cooperative enforcement effort, he developed the Protocol for Coordination in Merger Investigations Between the Federal Enforcement Agencies and State Attorneys General, adopted by the States, the FTC and US-DOJ in 1998 (id. at par. 13,420) which governs federal and state investigations of mergers and acquisitions.
