Jessica Braeger

Jessica L. Braeger is a member of the Corporate Law Practice Group in the Milwaukee office. She concentrates her practice on mergers and acquisitions, divestitures, private equity and venture capital transactions and general and commercial corporate matters for companies of all sizes and in various industries. Jessica also assists clients in structuring promotional contests and sweepstakes.

Jessica is committed to excellent client service and is known for combining strong technical ability and careful legal analysis with a pragmatic approach focused on achieving client business objectives.

Representative Experience

Served as U.S. legal counsel to Kudan Inc. (Tokyo Stock Exchange, code: 4425) in connection with its investment in Artisense Corporation.

Represented Hufcor, Inc. (Janesville, Wisconsin) in the sale of the company to OpenGate Capital (Los Angeles, California)

Represented Johnson Controls, Inc. (NYSE:  JCI) (Glendale, Wisconsin) in its purchase of equity in its Colombian joint venture with MAC (Colombia)

Represented private equity firm in a tender offer involving one of its portfolio companies (transaction not public)

Represented Gardner Denver, Inc. (Milwaukee, Wisconsin) in its negotiation of numerous global commercial agreements

Represented Families International (Milwaukee, Wisconsin) in its merger with the Alliance for Children and Families and the reorganization of their affiliates

Represented Chr. Hansen, Inc. (Milwaukee, Wisconsin) in connection with sale of its seasonings and flavors division to Symrise AG (Germany) and its excipient and coatings division to Berwind Corporation

Represented life sciences start-up company in formation and debt and equity financings

Represented emerging company in multiple rounds of equity and debt financing

Represented emerging company in sale by merger in dual track (IPO/sale) process

Represented Novozymes North America, Inc. in connection with its acquisitions of Semco Biologicals, Roots, Inc. and Earth Biosciences
