Master supply agreements with vendors and customers present both opportunities and risks. We will focus on evaluating the provisions our firm is most commonly asked to comment on as outside counsel, including “most favored” pricing, exclusivity, indemnification, limitations of liability and post-termination rights and obligations, with a particular eye towards a “less is more” approach when trying to negotiate changes against a counterparty with greater bargaining leverage.
