Godfrey & Kahn's Commercial Lending Practice Group consists of members of our Corporate, Real Estate, Business Finance & Restructuring, and Banking & Financial Institutions Practice Groups.
Our commercial lending attorneys provide legal counsel to institutional lenders in multiple areas such as secured and unsecured corporate credit facilities, asset-based financing transactions, construction and permanent commercial real estate lending, leveraged acquisition and recapitalization financings, mezzanine financing, tax-exempt bond financing, tax credit financing, loan workouts and restructurings, and other complex banking transactions. We assist our clients throughout all stages of the transaction process, from developing appropriate structures to the negotiation, documentation and administration of the credit facilities. We are one of the leading firms in the Midwest in the representation of lenders in secured financing for middle market companies.
Our commercial lending attorneys have extensive experience in areas such as single-lender and multi-lender financings and nationally syndicated credits; corporate lending to middle market companies for working capital, capital expenditures and other purposes; local counsel representation of lenders in large, multi-state loan transactions; real estate lending for the acquisition and construction of projects in all real estate sectors and permanent financing of these projects; and nontraditional financing incorporating equity, such as preferred stock or warrants. Our attorneys have also acted as bond counsel in connection with numerous tax-exempt bond financings. In addition, we have significant experience in the financing of projects using federal new markets tax credits, federal historic tax credits, and other federal and state tax credits.
Our clients include some of the largest commercial lending institutions in the Midwest, including BMO Harris Bank, Wells Fargo Bank, N.A., U.S. Bank National Association and JPMorgan Chase Bank, N.A. and regionally focused commercial banks, such as TCF National Bank, Johnson Bank and First Business Bank. We also represent national asset-based lenders, including Wells Fargo Business Credit, and regional asset-based lenders, such as First Business Capital Corp. Our clients also include private investment funds, mezzanine lenders and other nonbank lenders.
Our Commercial Lending Practice Group has a comprehensive bankruptcy and workout sub-group that has the depth, experience and knowledge to handle any kind of bankruptcy or restructuring matter. Representing secured creditors, our attorneys have negotiated, documented and litigated intercreditor agreements, complex forbearance agreements to facilitate workouts, debtor in possession financing agreements and orders, exit financings, and going-concern and liquidating asset sale agreements.
Our commercial lending attorneys work closely with attorneys in the firm's other practice groups, including our corporate, tax, environmental, ERISA and employment attorneys, in advising our clients on other issues that commonly arise in financing transactions. When a business transaction involves a debt component, our commercial lending group will provide its extensive knowledge to that part of the deal.
